Terms of Service
Effective: 15 July 2026
These Terms of Service govern your access to and use of the Paydirt website, interface and related services. Please read them carefully. By using Paydirt you agree to be bound by these terms in full.
1. 1. Acceptance of terms
These Terms of Service (the "Terms") are a binding agreement between you and Paydirt, together with, where the context requires, Paydirt and its parent companies and subsidiaries (collectively, "Paydirt", "we", "us" or "our"). They govern your access to and use of the Paydirt website, web application, user interface and any related content, features and services we provide (together, the "Service").
By accessing or using the Service in any way, including by connecting a cryptocurrency wallet, creating a token, trading on a bonding curve, posting a comment, setting a handle or sharing a referral link, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.
If you use the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. You may not use the Service if you are barred from doing so under applicable law.
2. 2. Eligibility and age
You must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher, to access or use the Service. By using the Service you represent and warrant that you meet this requirement. The Service is not directed to, and may not be used by, anyone under 18 years of age.
You further represent and warrant that: (a) you are not located in, organized under the laws of, or a resident of any jurisdiction where your use of the Service would be unlawful; (b) you are not subject to any sanctions administered or enforced by any governmental authority, and you are not listed on any list of prohibited or restricted parties; and (c) your use of the Service complies with all laws and regulations applicable to you, including tax laws. You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction.
3. 3. Description of the Service
Paydirt is a non-custodial web interface that lets you interact with public smart contracts deployed on Robinhood Chain, an Ethereum layer 2 network (the "Protocol"). Through the interface you can create ERC20 tokens, buy and sell tokens on bonding curves priced in ETH, and interact with related Protocol features such as King of the hill, the last-buy pot, the Motherload, fee claiming, referrals and, while it runs, the creation promotion.
Paydirt never holds, controls or takes custody of your funds, tokens or private keys at any time. All transactions are executed directly between your wallet and the Protocol's smart contracts on Robinhood Chain. You alone are responsible for the security of your wallet, your private keys and your seed phrase. If you lose access to your wallet, neither Paydirt nor anyone else can recover your funds.
The Protocol's smart contracts are immutable and permissionless. Once deployed, they run autonomously on a public blockchain, cannot be altered by Paydirt, and can be accessed by anyone, with or without our interface. The Paydirt website is one way to access the Protocol; it is not the only way, and the availability or unavailability of our interface does not affect the operation of the underlying contracts. When you submit a transaction through the interface, you are instructing your own wallet to interact with those contracts, and the transaction is executed by the blockchain, not by us.
Certain characteristics of the Protocol are permanent by design. A token's name, ticker, description and image are set at creation and cannot be changed by anyone, including Paydirt. Every token name and ticker is one of one on Paydirt forever, on a case-insensitive basis, meaning that once a name or ticker has been used it can never be used again. You acknowledge and accept these permanent characteristics before creating any token.
4. 4. No financial advice
Nothing on the Service constitutes, or is intended to constitute, financial, investment, legal, tax or other professional advice. Paydirt is not a broker, dealer, financial advisor, investment advisor, exchange, money transmitter or fiduciary, and no communication or information provided through the Service should be treated as a recommendation to buy, sell, hold or create any token.
All content on the Service, including token pages, charts, bond progress indicators, fee statistics, leaderboards, comments and chat, is provided for informational and entertainment purposes only. Any decision to interact with the Protocol is yours alone. You should conduct your own research and, where appropriate, consult qualified professionals before making any decision involving digital assets.
5. 5. Risk disclosure
Interacting with tokens, bonding curves and smart contracts involves substantial risk. You should not commit funds you cannot afford to lose entirely. By using the Service you acknowledge and accept, without limitation, the following risks:
- Extreme volatility. Tokens created on Paydirt are typically memecoins with no underlying assets, cash flows, rights or intrinsic value. Their prices can move dramatically in seconds and can fall to effectively zero. Total loss of everything you spend is a realistic outcome, not a remote one.
- Bonding curve mechanics. Prices on a bonding curve are determined algorithmically by the curve's formula and by the buying and selling of other users, not by any market maker or order book. Early buyers can profit at the expense of later buyers, and selling pressure can rapidly reduce the price you receive.
- Smart contract risk. Although the Protocol's contracts are immutable, immutability also means that any bug, vulnerability or unexpected behavior cannot be patched. Exploits, unforeseen interactions and losses arising from contract behavior are possible and would be irreversible.
- Blockchain finality. Transactions on Robinhood Chain are final once confirmed. There are no reversals, chargebacks, refunds or cancellations. A mistaken trade, a mistyped amount or an interaction with the wrong token cannot be undone by Paydirt or anyone else.
- Chance-based features. The Motherload and the last-buy pot are chance-based features. Every bonding curve buy of 0.01 ETH or more has a 1 in 100,000 chance of winning the Motherload. Randomness for these features is derived on-chain from block data, including prevrandao and blockhash. This design is documented and verifiable, but it carries the trust model of on-chain randomness, and you should understand that trust model before relying on these features. Most participants will never win, and you should never spend funds in the expectation of winning.
- Network and infrastructure risk. Robinhood Chain, its sequencer, RPC providers and other infrastructure may experience congestion, downtime, reorganizations or other failures that delay or prevent transactions, and gas costs may change without notice.
- Regulatory risk. The legal and regulatory treatment of digital assets is uncertain and evolving. Future laws, regulations or enforcement actions could adversely affect the Protocol, particular tokens or your ability to use the Service.
6. 6. No guarantees regarding user-created tokens
All tokens on Paydirt are created by users, not by Paydirt. Paydirt does not create, issue, endorse, sponsor, vet, audit or verify any token, and the appearance of a token on the Service does not imply any assessment of its quality, legality or value. Token names, tickers, descriptions and images are chosen entirely by their creators.
Paydirt makes no representation or warranty of any kind regarding any user-created token, including as to its value, liquidity, longevity, the conduct of its creator or community, whether it will reach King of the hill, whether it will bond, or how it will perform on its bonding curve or on Uniswap after migration. Creators and other users may act in ways that harm a token's price or community, including selling their holdings at any time. A creator who allows their balance to fall below 1% of supply is permanently disqualified from creator fees under the Protocol's rules, and Paydirt has no ability to alter that outcome.
You are solely responsible for evaluating any token before interacting with it. If a token's name, ticker or image infringes the rights of others or violates these Terms, we may restrict its visibility on the interface, but we cannot remove it from the blockchain, because on-chain data is permanent.
7. 7. User content rules
The Service includes social features such as comments on token pages and referrer broadcast channels in chat (collectively, "User Content"). You are solely responsible for any User Content you post, and for any token names, tickers, descriptions, images and handles you create, all of which are treated as User Content under these Terms.
By posting User Content, you grant Paydirt a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce and distribute that content in connection with operating, promoting and improving the Service. You represent that you own or have the necessary rights to the content you post and that it does not infringe the rights of any third party.
You must not post User Content that: is unlawful, fraudulent or deceptive; infringes any intellectual property, privacy or publicity right; is defamatory, harassing, threatening or hateful; is sexually explicit or exploits minors in any way; contains malware or phishing links; impersonates any person or entity; constitutes spam or manipulative promotion; or discloses another person's private information without consent.
Comments are subject to anti-spam checks before posting. Comments that receive 5 spam reports from other users are hidden automatically. Access to a referrer's broadcast channel in chat is available to referred users while they have at least 0.05 ETH of bonding curve volume in the current calendar month; access follows the Protocol and the Service's rules and may change as those rules change. We may remove, hide or restrict any User Content from the interface at our sole discretion, with or without notice, but content already written to the blockchain, including token metadata, is permanent and beyond anyone's ability to delete.
8. 8. Referral and creation promotion terms
Handles and referrals. You may set a unique handle that powers your referral link. Referral relationships are bound on-chain on a permanent, first-touch basis: the first referrer associated with a wallet is that wallet's referrer forever, and this binding cannot be changed by you or by Paydirt. Referrers earn 10% of their referrals' bonding curve fees for as long as those referrals trade on bonding curves. Referral earnings come from bonding curve fees only; no referral earnings accrue from Uniswap trading after a token bonds. Referred users receive 10% cashback on their own bonding curve fees. Referral earnings and cashback are claimed from the profile page.
Creation promotion. Until 15 August 2026, 10% of all protocol fees accrues in ETH to a promotional prize pool. Each eligible token created on the Protocol before 15 August 2026 constitutes one entry. After the accrual period ends, one eligible token will be selected using a provably fair on-chain method and the pool will be awarded to that token's creator. The selection method will be published before the selection takes place. Creating a token carries no charge from Paydirt; you remain responsible for network gas costs.
Program conditions. You must not abuse the referral or creation promotion programs, including by self-referral across wallets you control, wash trading, volume manipulation, use of bots or scripts to inflate metrics, or any other scheme designed to extract rewards you have not genuinely earned. We may withhold interface-level benefits, disqualify participants from off-chain components of these programs and restrict access to the Service where we reasonably believe abuse has occurred. To the extent permitted by the immutable design of the Protocol, Paydirt may modify, suspend or end the referral program, the creation promotion or any other promotional program at any time, for any reason, without notice or compensation. Rewards distributed autonomously by the smart contracts are governed by the contracts themselves.
9. 9. Prohibited conduct
You agree not to engage in any of the following in connection with the Service:
- Using the Service in violation of any applicable law or regulation, including securities, commodities, anti-money-laundering, sanctions and tax laws.
- Creating tokens or content that infringes trademarks, copyrights or other rights, or that impersonates any person, project or organization.
- Engaging in market manipulation of any kind, including wash trading, spoofing, pump and dump schemes and coordinated deceptive trading.
- Attempting to exploit, disrupt or interfere with the Service, the Protocol or Robinhood Chain, including through denial-of-service attacks, exploits or attempts to manipulate the on-chain randomness used by the Motherload or the last-buy pot.
- Circumventing or attempting to circumvent anti-spam checks, spam reporting, chat access rules, reCAPTCHA or any other protective measure.
- Using bots, scrapers or automated tools to access the Service in a manner that burdens our infrastructure or harvests data, except as permitted by us in writing.
- Abusing the referral, cashback or creation promotion programs as described in Section 8.
- Using the Service to launder money, finance terrorism, evade sanctions or facilitate any other financial crime.
- Reverse engineering, decompiling or copying the non-public portions of the Service, or reselling or white-labeling the Service without our written permission.
10. 10. Intellectual property
The Service, including the Paydirt name, logo, branding, interface design, text, graphics and software, is owned by Paydirt and its parent companies and subsidiaries or their licensors and is protected by copyright, trademark and other intellectual property laws. Except for the limited right to access and use the Service in accordance with these Terms, no license or right in the Service or our intellectual property is granted to you.
You may not use the Paydirt name, logo or branding without our prior written consent, except for accurate, non-misleading references to the Service. User Content remains yours, subject to the license you grant us in Section 7. The Protocol's smart contracts are deployed on a public blockchain and may be subject to their own license terms published with their source code.
If you believe content available through the Service infringes your copyright or other rights, contact us at legal@paydirt.app with sufficient detail for us to evaluate your claim, including identification of the work, the location of the allegedly infringing material and your contact information. We will respond to valid notices in accordance with applicable law. Please note that we can remove content from our interface, but not from the blockchain.
11. 11. Third-party services and links
The Service interacts with and depends on services and software that Paydirt does not control, including Robinhood Chain and its infrastructure, wallet software, RPC node providers, Uniswap V3 and its pools, IPFS and pinning services, authentication and analytics providers and spam-protection services. Your use of any third-party service is governed by that third party's own terms and policies, and Paydirt is not responsible for the acts, omissions, availability, security or performance of any third party.
The Service may contain links to third-party websites or resources, including token communities and social channels. Such links are provided for convenience only and do not imply endorsement. When a token bonds, its liquidity migrates automatically to a Uniswap V3 pool; trading on Uniswap or any other venue after bonding occurs entirely outside the Service, and Paydirt has no involvement in or responsibility for that trading.
12. 12. Disclaimers of warranty
THE SERVICE AND THE PROTOCOL ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, PAYDIRT AND ITS PARENT COMPANIES AND SUBSIDIARIES DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing, Paydirt does not warrant that the Service will be uninterrupted, timely, secure or error-free; that any data, price, chart or indicator displayed on the Service is accurate or complete; that the Protocol's smart contracts are free of bugs or vulnerabilities; that any token will retain any value or bond; or that any chance-based feature will produce any particular outcome. Information displayed on the interface may lag or diverge from the state of the blockchain, and the blockchain is the sole source of truth.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, our warranties are limited to the minimum scope and duration required by applicable law.
13. 13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PAYDIRT OR ITS PARENT COMPANIES AND SUBSIDIARIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, VALUE, DATA, GOODWILL OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE OR THE PROTOCOL, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, PAYDIRT HAS NO LIABILITY FOR: LOSSES ARISING FROM THE BEHAVIOR OF ANY SMART CONTRACT, TOKEN OR BLOCKCHAIN; LOSSES ARISING FROM YOUR WALLET, PRIVATE KEYS OR TRANSACTIONS YOU AUTHORIZE; THE ACTS OR OMISSIONS OF TOKEN CREATORS OR OTHER USERS; THE OUTCOMES OF THE MOTHERLOAD, THE LAST-BUY POT OR ANY OTHER CHANCE-BASED FEATURE; OR THE ACTS OR OMISSIONS OF ANY THIRD PARTY.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PAYDIRT AND ITS PARENT COMPANIES AND SUBSIDIARIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS (US$100) OR THE AMOUNT YOU PAID DIRECTLY TO PAYDIRT FOR USE OF THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM. FEES PAID TO THE PROTOCOL'S SMART CONTRACTS ARE NOT AMOUNTS PAID TO PAYDIRT.
Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law. The limitations in this section are fundamental elements of the bargain between you and Paydirt, and the Service would not be provided without them.
14. 14. Indemnification
You agree to indemnify, defend and hold harmless Paydirt and its parent companies and subsidiaries, and their respective officers, directors, employees, contractors and agents, from and against any and all claims, demands, actions, damages, losses, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your access to or use of the Service or the Protocol; (b) any token or other content you create, post or share; (c) your violation of these Terms or of any applicable law; (d) your violation of the rights of any third party; or (e) any dispute between you and any other user or third party.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. You may not settle any such claim without our prior written consent.
15. 15. Dispute resolution and arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH PAYDIRT ON AN INDIVIDUAL BASIS AND LIMITS THE WAYS YOU CAN SEEK RELIEF, INCLUDING BY WAIVING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.
Informal resolution first. Before starting arbitration, you agree to contact us at legal@paydirt.app with a written description of your dispute and to attempt in good faith to resolve it informally for at least 30 days. Most disputes can be resolved this way.
Binding individual arbitration. Except for disputes that qualify for small claims court and except for claims for injunctive relief regarding intellectual property or unauthorized access to the Service, any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding arbitration administered by a reputable arbitration provider under its rules for consumer disputes, before a single arbitrator. The arbitration will be conducted in the English language, and may be conducted remotely by videoconference or on the basis of written submissions where the rules allow. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class action waiver. YOU AND PAYDIRT EACH AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim, and only that claim, must be severed from arbitration and brought in court, and the remainder of this section will continue to apply.
Opt-out. You may opt out of this arbitration agreement and class action waiver by sending an email to legal@paydirt.app within 30 days of the date you first accept these Terms, stating your name, the wallet address or handle associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.
16. 16. Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Subject to the arbitration provisions in Section 15, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Paydirt each consent to the personal jurisdiction and venue of those courts.
17. 17. Termination
We may suspend, restrict or terminate your access to the Service, or to any feature of the Service, at any time, with or without cause and with or without notice, including where we reasonably believe you have violated these Terms or applicable law, or where necessary to protect the Service or other users. You may stop using the Service at any time.
Because the Protocol consists of immutable, permissionless smart contracts on a public blockchain, termination of your access to the Paydirt interface does not affect your on-chain assets or your ability to interact with the contracts through other means. Sections of these Terms that by their nature should survive termination will survive, including the sections on risk, user content licenses, disclaimers, limitation of liability, indemnification, dispute resolution and governing law.
18. 18. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on the Service and update the effective date above, and we may provide additional notice through the interface. Changes take effect when posted unless a later date is stated. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
19. 19. Severability and entire agreement
If any provision of these Terms is held invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
These Terms, together with the Privacy Policy and any additional terms we present for specific features, constitute the entire agreement between you and Paydirt regarding the Service and supersede all prior or contemporaneous understandings. You may not assign these Terms without our prior written consent; we may assign them without restriction, including to a parent company, subsidiary or successor. Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and Paydirt, and there are no third-party beneficiaries of these Terms except as expressly stated.
